    Executive Summary:
    The Board of Visitors has taken multiple actions to ensure compliance with the provisions of the legislation as described below:

    I. Members of the Board of Visitors of Radford University

    Current members and their term expiration dates:

    II. Actions taken in compliance with § 23-2.01. Public access to information.

    The goal of the Board of Visitors of Radford University is to operate in a transparent manner as contemplated in section 23-2.01 as evidenced by the following:

    1) Held Quarterly Board Meetings on the following dates all of which were open to the public, notice was provided pursuant to § 2.2-3707 of the Code of Virginia, and the agendas and minutes were published pursuant to state law: January 29, 2013; May 9, 2013; May 10, 2013; September 13, 2013; and November 8, 2013

    Any business that was conducted in a closed session was done pursuant to the Virginia Freedom of Information Act (Section 2.2-3700 et seq.). Minutes of the meetings can be found at http://www.radford.edu/content/bov/home/meetings/minutes.html.

    In addition, an attorney from the Attorney General’s Office has attended each meeting.

    2) Held a Board Retreat on July 17-18, 2013, which was open to the public, notice was provided pursuant to § 2.2-3707 of the Code of Virginia, and whose agenda and minutes were published pursuant to state law.

    Any business that was conducted in a closed session was done pursuant to the Virginia Freedom of Information Act (Section 2.2-3700 et seq.). Minutes of the meetings can be found at http://www.radford.edu/content/bov/home/meetings/minutes.html.

    In addition, an attorney from the Attorney General’s Office attended each meeting.

    3) Held Quarterly Committee Meetings of the following committees on the dates set forth:

    Academic Affairs Committee meetings held: January 28, 2013; May 9, 2013; September 12, 2013; and November 7, 2013

    Advancement/Alumni Relations & Communications/Marketing Committee (prior to July 18, 2013 this Committee was known as University Advancement & Alumni Relations Committee) meetings held: January 28, 2013; May 9, 2013; September 12, 2013; November 7, 2013

    Business Affairs & Audit Committee (prior to July 18, 2013 this Committee was known as Business Affairs & Marketing Committee) meetings held: January 28, 2013; May 10, 2013;
    September 12, 2013; and November 7, 2013

    Governance, Athletics & Administration Committee (prior to July 18, 2013 this Committee was known as Governance & Administration Committee) meetings held: January 29, 2013; May 9, 2013; September 12, 2013; and November 7, 2013

    Student Affairs Committee meetings held: May 9, 2013; September 12, 2013; and November 7, 2013

    All of the meetings listed above were open to the public, notice of the meetings were provided pursuant to § 2.2-3707 of the Code of Virginia, the agendas and minutes of all meetings were published pursuant to state law. Any business that was conducted in a closed session was done pursuant to the Virginia Freedom of Information Act (Section 2.2-3700 et seq.).     III. Actions taken in compliance with § 23-2.02. Boards of Visitors; Bylaws.

    Pursuant to §23-2.02 of the Code of Virginia the Bylaws of the Radford University Board of Visitors had already included many of the required provisions, and were further amended at the Board of Visitors Retreat on July 18, 2013, to include all the required provisions of this section, and sections 23-2.03, 23-2.04, and 23-2.05.     IV. Actions taken in compliance with § 23-2.03. Boards of Visitors; Annual meeting with the president of the institution

    Pursuant to § 23-2.03 and in accordance with the Bylaws of the Board of Visitors of Radford University, the Board does meet annually with the President concerning her review. This was last done at the September 12-13, 2013, Board and Committee Meetings.

    V. Actions taken in compliance with § 23-2.04. Boards of Visitors; Executive Committee

    Pursuant to § 23-2.04 of the Code of Virginia the Bylaws of the Radford University Board of Visitors were amended on July 18, 2013, to specifically include the duties that the Executive Committee must perform pursuant to this section. In addition, the Board has always conducted periodic reviews of its Bylaws and has made amendments as were required by that review, the latest being the review conducted in 2013 which culminated in the amendments adopted on July 18, 2013.     The Board in 2007 had adopted a Code of Ethics for all members of the University Community, and the Board has always abided by this Code of Ethics. In addition, the Bylaws were amended on July 18, 2013, to specifically state that the Code of Ethics is equally applicable to the Board members as well as other members of the university community. (See Article I, Section 6, paragraph A, subparagraph 1.e of the Bylaws of the Radford University’s Board of Visitors.)     The Board receives periodic training on the Virginia Freedom of Information Act, the latest being at its September 13, 2013 Board meeting, and each member of the Board of Visitors takes the Virginia Conflict of Interest Training every two years. In addition, three new members were appointed to the Radford University Board of Visitors on July 19, 2013, one new member attended the mandatory orientation training program presented by the State Council of Higher Education for Virginia (SCHEV). The other two members will attend the training in 2014. In addition, one additional new member was appointed on October 25, 2013, after the SCHEV orientation for 2013 was conducted, and it is expected that he will attend the training in 2014.

    Radford University and the members of its Board of Visitors are members of the Association of Governing Boards for Universities and Colleges (AGB). As members, the Rector and Vice Rector attended the annual AGB conference in April 2013.

    The Board has always conducted periodic reviews of its Bylaws and has made amendments as were required by that review, the latest being the review conducted in 2013 which culminated in the amendments adopted on July 18, 2013.

    It is anticipated that at its next meeting the Executive Committee will work to develop a Statement of Governance for recommendation to the full Board.

    The development of a set of qualifications and competencies recommended for membership on the Board, as well as discussions for new member orientation programs are in progress.
