    Annual Executive Summary of the interim activity and work of the Board of Visitors during 2014 in accordance § 23-2.05. Questions regarding the Executive Summary can be addressed to Michele N.     I. Members of the Board of Visitors of Radford University

    II. Actions taken in compliance with § 23-2.01. Public access to information.

    The goal of the Board of Visitors of Radford University is to operate in a transparent manner as contemplated in section 23-2.01 as evidenced by the following:
    1) Held Quarterly Board Meetings on the following dates all of which were open to the public, notice was provided pursuant to § 2.2-3707 of the Code of Virginia, and the agendas and minutes were published pursuant to state law: February 4, 2014; May 9, 2014; September 19, 2014; and November 21, 2014

    Any business that was conducted in a closed session was done pursuant to the Virginia Freedom of Information Act (Section 2.2-3700 et seq.). Minutes of the meetings can be found at http://www.radford.edu/content/bov/home/meetings/minutes.html.

    In addition, two attorneys from the Attorney General’s Office attended each meeting.

    2) Held a Board Retreat on July 17-18, 2014, which was open to the public, notice was provided pursuant to § 2.2-3707 of the Code of Virginia, and whose agenda and minutes were published pursuant to state law.

    Any business that was conducted in a closed session was done pursuant to the Virginia Freedom of Information Act (Section 2.2-3700 et seq.). Minutes of the meetings can be found at http://www.radford.edu/content/bov/home/meetings/minutes.html.

    In addition, two attorneys from the Attorney General’s Office attended the Board Retreat.

    3) Held Quarterly Committee Meetings of the following committees on the dates set forth:

    Academic Affairs Committee meetings held: February 3, 2014; May 8, 2014; September 18, 2014

    Advancement/Alumni Relations & Communications/Marketing Committee meetings held: February 3, 2014; May 8, 2014; September 18, 2014; November 20, 2014

    Business Affairs & Audit Committee meetings held: January 10, 2014; February 3, 2014; May 8, 2014; September 18, 2014

    Governance, Administration & Athletics Committee meetings held: February 4, 2014; May 8, 2014; September 18, 2014; and November 20, 2014

    Student Affairs Committee meetings held: May 8, 2014; September 18, 2014; and November 20, 2014

    Joint Meetings of the Academic Affairs Committee and the Business Affairs & Audit Committee were held on August 27, 2014; and November 20, 2014

    Executive Committee meetings held: January 10, 2014; September 18, 2014; November 20, 2014

    All of the meetings listed above were open to the public, notice of the meetings were provided pursuant to § 2.2-3707 of the Code of Virginia, the agendas and minutes of all meetings were published pursuant to state law. Any business that was conducted in a closed session was done pursuant to the Virginia Freedom of Information Act (Section 2.2-3700 et seq.).     In addition, an attorney from the Attorney General’s Office attended each meeting, and on some occasions two attorneys were in attendance.

    III. Actions taken in compliance with § 23-2.02. Boards of Visitors; Bylaws.

    Pursuant to § 23-2.02 of the Code of Virginia the Bylaws of the Radford University Board of Visitors include all the required provisions of this section, and sections 23-2.03, 23-2.04, and 23-2.05.     IV. Actions taken in compliance with §23-2.03. Boards of Visitors; Annual meeting with the president of the institution

    Pursuant to § 23-2.03 and in accordance with the Bylaws of the Board of Visitors of Radford University, the Board does meet annually with the President concerning her review. This was last done at the September 18-19, 2014 Board and Committee Meetings.

    V. Actions taken in compliance with § 23-2.04. Boards of Visitors; Executive Committee

    Pursuant to § 23-2.04 of the Code of Virginia the Bylaws of the Radford University Board of Visitors include the duties that the Executive Committee must perform pursuant to this section. In addition, the Board has always conducted periodic reviews of its Bylaws and has made amendments as were required by that review, the latest being the review conducted in 2014 which culminated in the amendments adopted on September 19, 2014.     The Board in 2007 had adopted a Code of Ethics for all members of the University Community, and the Board has always abided by this Code of Ethics. In addition, the Bylaws were amended on July 18, 2013, to specifically state that the Code of Ethics is equally applicable to the Board members as well as other members of the university community. (See Article I, Section 6, paragraph A, subparagraph 1.e of the Bylaws of the Radford University’s Board of Visitors.)     The Board receives periodic training on the Virginia Freedom of Information Act, the latest being at the Board Retreat in July 17-18, 2014, and again at the new board member orientation held at Radford University on August 26, 2014 and November 19, 2014 and each member of the Board of Visitors takes the Virginia Conflict of Interest Training every two years.

    In addition, on August 26, 2014 Radford University conducted a one day orientation session for new members to the Board of Visitors prior to the September Board meeting (the first Board meeting of the fiscal year). Radford University also held on November 19, 2014 a make-up orientation session for those Board members unable to attend the first session.     In addition, the following new members appointed to the Radford University Board of Visitors since October 1, 2013, attended the mandatory orientation training program presented by the State Council of Higher Education for Virginia (SCHEV) in October 2014: Dr. Andrew B. Fogarty; Dr. Susan Whealler Johnston; Mr. Randolph “Randy” J. Marcus; Ms. Alethea “AJ” Robinson; Dr. Javaid Siddiqi; Mr. Christopher Wade; and Mr. Michael A. Wray. Ms. Callie M. Dalton attended the SCHEV mandatory orientation training in October 2013.

    Radford University and the members of its Board of Visitors are members of the Association of Governing Boards for Universities and Colleges (AGB), and have access to all AGB materials including the AGB website, webinars and other AGB programs. Board member, Mary Campbell, attended the annual AGB conference in April 2014.

    The Board of Visitors has always conducted periodic reviews of its Bylaws and has made amendments as were required by that review, the latest being the review conducted in 2014 which culminated in the amendments adopted on September 19, 2014.
